Notice of Recommendation for Preliminary Outside Director Candidates

HANSAE-MK is receiving recommendations from shareholders for preliminary outside director candidates in order to strengthen communication with shareholders and enhance the transparency of the outside director appointment process. Shareholders are invited to recommend candidates with professional expertise who can contribute to the company's sustainable growth and enterprise value.

• 1) Position to be recommended: Preliminary outside director candidates to be appointed at the 2026 annual general meeting of shareholders
• 2) Eligibility of recommending shareholders: Shareholders who, as of February 2, 2026, have held HANSAE-MK shares for at least six months
• 3) Number of recommendations: One preliminary outside director candidate per shareholder
• 4) Qualification requirements
  • Mandatory: No grounds for disqualification as an outside director under the Commercial Act and other applicable laws, including Articles 382(3) and 542-8(2) of the Commercial Act
  • Professional competence: Extensive expertise and practical experience in management, finance/accounting, risk management, ESG, legal affairs, or other relevant areas; independence from specific interests; and a high level of ethics and responsibility to contribute to shareholder value and company growth
• 5) Submission period: February 2, 2026 (Mon) to February 13, 2026 (Fri), 6:00 PM
• 6) Submission method: By email or postal mail (postmarked by February 13 is valid)

  • Outside director candidate recommendation form (company format)
  • Consent to collection and use of personal information (one each for the recommending shareholder and the preliminary candidate)
  • Proof of shareholding of the recommending shareholder
  • Please download the recommendation form and consent form from the attachments to this notice.
• 8) Notes
  • Recommended candidates will be reviewed strictly and fairly by the internal nomination task force and the Outside Director Candidate Recommendation Committee.
  • If any false statement is found in the submitted documents, the candidate will be excluded immediately.
  • Submitted documents will not be returned. Only those selected as final candidates will be notified individually.
